1. Acceptance of Terms
By registering an account, accessing, or using the SecuraPilot platform (the "Service"), you agree to be bound by these Terms of Service (the "Terms"). If you do not accept the Terms, you should not use the platform.
These Terms constitute a legally binding agreement between you (either as an individual or on behalf of a legal entity) and SecuraPilot AB ("SecuraPilot", "we", "us", "our").
Important
If you are using the Service on behalf of an organization, you warrant that you have the authority to bind the organization to these Terms.
2. Service Description
SecuraPilot is a cloud-based SaaS platform (Software as a Service) for GDPR compliance, vendor management, and data protection monitoring. The Service provides tools to:
- Manage and document GDPR compliance
- Monitor and evaluate vendors
- Administer Data Processing Agreements (DPA)
- Conduct Data Protection Impact Assessments (DPIA)
- Track and report personal data incidents
- Generate compliance reports and documentation
We reserve the right to update, modify, or discontinue features of the Service at any time. Material changes affecting core functionality will be communicated in advance.
3. Account and Security
Account Registration
To use the Service, you must create an account. Upon registration, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Be at least 18 years old or have parental consent
- Have only one account (duplicate accounts are not permitted)
Account Security
You are responsible for:
- Confidentiality: Keeping your login credentials secure and confidential
- Activity: All activity occurring under your account, even if performed by others
- Notification: Immediately informing us of any suspected unauthorized access or security breach
- Strong Authentication: Using strong, unique passwords and enabling two-factor authentication
SecuraPilot is not liable for losses arising from unauthorized use of your account, whether with or without your knowledge.
4. Use of Service
Permitted Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You may:
- Use the Service for your internal business operations
- Store and manage data related to GDPR compliance
- Grant access to the Service to authorized employees and partners
- Export your data in formats offered by the Service
Prohibited Use
You may not:
- Illegal Activities: Use the Service for illegal purposes or in violation of any law
- Unauthorized Access: Attempt to gain unauthorized access to the system, other accounts, or networks
- Disruptive Activities: Disrupt or interrupt the Service or servers/networks connected to the Service
- Malicious Code: Transmit viruses, worms, trojans, or other malicious code
- Reverse Engineering: Decompile, disassemble, or otherwise attempt to derive source code
- Automated Use: Use robots, scrapers, or automated systems without our written permission
- Overload: Overload the system with requests that affect performance
- Resale: Sell, license, or rent the Service to third parties
5. Intellectual Property Rights
SecuraPilot and its suppliers own all rights, titles, and interests in and to the Service, including:
- All software, code, and technology powering the Service
- Trademarks, logos, and design elements
- Documentation, guides, and training materials
- Algorithms, processes, and business methods
- All improvements, modifications, and derivative works
Under these Terms, you are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms during the subscription period.
This license does not grant you the right to:
- Copy, modify, or create derivative works of the Service
- Use SecuraPilot's trademarks without prior written approval
- Remove or alter copyright notices or trademarks
6. Your Data and Ownership
Your Ownership
You retain all rights to the data and content you upload, store, or create in the Service ("Your Content"). SecuraPilot makes no claim of ownership over Your Content.
License to Us
You grant SecuraPilot a limited license to use, store, and process Your Content only to the extent necessary to:
- Provide and maintain the Service
- Improve and develop the Service
- Fulfill our legal obligations
- Perform backups and restoration
Your Responsibility
You are responsible for:
- The accuracy, quality, and legality of Your Content
- Having the right to use and share Your Content
- Ensuring Your Content does not infringe third-party rights
- Backing up important data (we recommend regular exports)
7. Payment and Subscription
Subscription Plans
The Service is offered through various subscription plans with varying features and pricing. Detailed pricing information is available on our website and in your specific subscription agreement.
Billing
- Advance Payment: Subscription fees are billed in advance for the selected billing period
- Payment Terms: Payment must be made within 30 days of invoice date unless otherwise agreed
- Automatic Renewal: Subscriptions automatically renew unless canceled before the end of the current period
- Price Changes: We reserve the right to change prices with 30 days' notice
Late Payment
In case of late payment, we reserve the right to:
- Restrict or temporarily suspend access to the Service
- Charge late payment interest in accordance with Swedish law
- Refer the debt to collection
- Terminate the agreement after notice
8. Termination and Cancellation
Your Termination
You may cancel your subscription at any time by:
- Contacting our customer service via email
- Using the cancellation function in your account settings (if available)
Cancellation takes effect at the end of the paid subscription period. Refunds are not provided for unused time.
Our Termination
We reserve the right to immediately terminate or suspend your account if:
- You violate these Terms
- Payment is not received after notice
- We must comply with legal requirements or government orders
- Your use causes technical or security issues
- The Service is permanently discontinued (with 90 days' notice)
Effect of Termination
Upon termination or cancellation:
- Your right to use the Service ceases immediately
- You have 30 days to export Your Content
- We may delete Your Content after 90 days unless otherwise agreed
- Outstanding payments become immediately due
- Provisions that by their nature should survive termination remain valid
9. Service Availability
We strive to maintain high availability for the Service but cannot guarantee uninterrupted operation.
Scheduled Maintenance
- Scheduled maintenance is normally announced 48 hours in advance
- Urgent security updates may be performed with shorter notice
- Maintenance is typically scheduled outside business hours
Service Level
Enterprise customers are subject to separate Service Level Agreements (SLA) as per individual agreements. Standard subscriptions include:
- Target uptime: 99.5% per month (excluding scheduled maintenance)
- Support during business hours (CET)
- Updates on known incidents via our status page
10. Limitation of Liability
To the extent permitted by law, SecuraPilot is not liable for:
Indirect Damages
- Indirect, consequential, or special damages
- Loss of revenue, profit, goodwill, or business opportunities
- Loss or damage to data (beyond backup restoration)
- Costs of procuring substitute goods or services
- Downtime or lost working time
Limitation of Direct Damages
Our total liability for all claims related to the Service is limited to the lower of:
- The amount you paid to us during the past 12 months, or
- EUR 1,000
Exceptions to Limitations
The above limitations do not apply to:
- Damages caused by our gross negligence or intentional misconduct
- Personal injury or death caused by our negligence
- Fraud or fraudulent misrepresentation
- Liability that cannot be limited under mandatory law
11. Warranties and Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
Disclaimer of Warranties
We specifically disclaim all warranties regarding:
- Merchantability and fitness for a particular purpose
- Uninterrupted, error-free, or secure operation
- Accuracy, reliability, or completeness of content
- Results that may be achieved through use of the Service
- Correction of errors or defects
You use the Service at your own risk and are responsible for assessing whether it meets your needs.
12. Changes to Terms
We reserve the right to modify or replace these Terms at any time. For material changes, we will:
- Notify you via email to your registered address at least 30 days before the change takes effect
- Display a notice on the platform
- Update the "Last updated" date at the top of this page
- Give you the option to cancel if you do not accept the changes
Minor changes (such as corrections of typos or clarifications without material significance) may be made without prior notice.
Your continued use of the Service after changes take effect constitutes your acceptance of the new terms.
13. Governing Law and Dispute Resolution
Governing Law
These Terms shall be interpreted and applied in accordance with Swedish law, without regard to conflict of law principles.
Dispute Resolution
Disputes arising out of or in connection with these Terms shall first be resolved through good faith negotiations between the parties.
If a settlement cannot be reached within 30 days, the dispute shall:
- For consumers: Be settled by Swedish courts with application of consumer protection legislation. You also have the right to contact the Swedish National Board for Consumer Disputes (ARN).
- For businesses: Be finally settled by Swedish courts, with Stockholm District Court as the court of first instance.
